PHX Beyond Binary

These Founding Member Contribution Terms ("Terms") govern your contribution to PHX Beyond Binary, a project of Nooikko LLC ("we," "us," "our," or "the Organization"), during our founding member campaign. By making a contribution, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms supplement our general Terms of Service and Privacy Policy. Please review all documents before contributing.
Founding member contributions are different from regular membership fees. As a founding member, you are supporting the creation and development of PHX Beyond Binary before we open. Your contribution helps make our community makerspace possible.
Once we open, we will offer regular memberships that provide access to our space and amenities. Founding member contributions, however, are made during our development phase to help us get there.
By making a founding member contribution, you understand that:
Your contribution is a show of support for our mission during the development phase, not a purchase or pre-order
Contributions support our overall development regardless of which specific amenities are ultimately provided
We are a grassroots initiative in the planning and development phase
The physical space and services described represent our goals, not guaranteed deliverables
All founding member contributions are non-refundable.
Why contributions are non-refundable: Your contribution is actively spent working toward opening PHX Beyond Binary. Funds are not held in reserve. They are immediately invested in:
Legal services: Business formation, contracts, liability protection, and compliance
Marketing and outreach: Community building, materials, and awareness campaigns
Operational costs: Website hosting, payment processing fees, software, and administrative expenses
Space development: Deposits, lease negotiations, buildout planning, and initial setup
Equipment and materials: Tools, furniture, and supplies for the space
If despite our best efforts the space does not launch, we will not be able to offer refunds because those funds will have already been invested in the attempt. We are committed to transparency about how contributions are used and will do everything possible to make this space a reality.
PHX Beyond Binary is a growing organization in the development phase. Equipment, amenities, and services described in our materials represent our current development goals and are not guaranteed commitments.
Plans may change based on:
Available funding and budget constraints
Vendor availability and supply chain factors
Building permits, code compliance, and inspection requirements
Safety assessments and insurance requirements
Evolving community needs and priorities
Location availability and lease terms
Even when equipment is acquired, availability cannot be guaranteed. Items may be out of service for maintenance, require safety certifications before use, or be unavailable due to scheduling conflicts.
No specific timeline, equipment, amenity, or service is guaranteed. We will do our best to deliver on our stated goals, but circumstances may require adjustments.
Certain founding member benefits require a physical space to fulfill. These benefits are contingent on PHX Beyond Binary successfully opening a physical location.
Benefits contingent on space opening:
Laser-Engraved Founder Plaque: Your name on the physical Founder Wall
Sign Your Plaque: Signing the back of your name plaque
Zero Day Early Access: Access to the space before official opening
First Month Free Membership: Free membership upon opening
Opening Event Recognition: Recognition at the opening celebration
If the physical space does not open, these benefits cannot be fulfilled. This does not entitle you to a refund, as your contribution supports the overall mission and development effort.
Benefits NOT contingent on space opening (can be fulfilled regardless):
Discord Founding Role: Exclusive Discord role marking you as a founding supporter
Contributors Page: Recognition on our website
Handwritten Thank You Card: Personal thank you from the team
Founding member benefits are provided on a best-effort basis. We are committed to honoring the spirit of the benefits described, but the specific implementation may be modified based on operational constraints.
Potential modifications may include:
Changes to the format or materials used for physical items (e.g., plaque materials)
Timing adjustments for when benefits can be fulfilled
Substitution of equivalent benefits if original benefits become impractical
Digital alternatives if physical fulfillment is not possible
We will communicate with founding members about any significant changes to benefits and work to ensure you receive meaningful recognition for your support.
Information on our website, FAQ, and other materials represents our current plans and may change. We strive to keep information accurate and up-to-date, but cannot guarantee that all details will remain constant throughout the development process.
We encourage you to:
Review our current plans before contributing
Understand the inherent uncertainties of supporting a development-phase project
Make an informed decision based on your comfort with these risks

If you provide an email address, we will communicate significant updates about the project, including any major changes to plans or timelines.
PHX Beyond Binary is a project of Nooikko LLC. We are not a 501(c)(3) nonprofit organization.
Founding member contributions are NOT tax-deductible charitable donations. Please consult with a tax professional if you have questions about the tax treatment of your contribution.
